your acceptance without modification of the terms and conditions
contained herein. Your use of NACallMatrix.com site constitutes your
agreement to all such terms and conditions. Information provided on
NACallMatrix.com is subject to the confidentiality provisions of the
Billing and Collection Agreement. NA Operator Calling Services has
implemented reasonable safeguards to prevent a logged-on user from
accessing any resource or information associated with any other user.
NACallMatrix.com
NaCallMartix.com
is the internet web site for NA Operator Calling Services and CanTalk (Canada) Inc.
clients to retrieve corporate data about call inventories. It
provides a secure link for clients to develop and download online
reports for their own internal corporate purposes.
Use
Limitation
Periodically,
there may occur service interruptions due to technical difficulties
over which we cannot control. The problems may result in loss of
data, delays in transmission and other difficulties. Therefore
NACallMatrix provides this service as is, without representation as
to completeness nor accuracy.
NACallMatrix
is for your use only in accordance with this Agreement. You may not
modify, copy, distribute, transmit, display, perform, reproduce,
publish, license, create derivative works from, transfer, or sell any
information obtained from NACallMatrix unless otherwise specified by written
agreements.
Liability

The
information and software published on NACallMatrix may include
errors. Periodically changes may be made to the site without
notification to viewers. The information contained in
NACallMatrix.com and this document is subject to change without
notice and does not represent a commitment on the part of
NACallMatrix to maintain NACallMatrix in its current form.

and/or its respective suppliers and affiliates make no
representations about the suitability of the information and

Unlawful or Prohibited Use

not use this facility for any purpose that is unlawful or prohibited
by these terms and conditions.
Modification
of these Terms and Conditions
NaCallMatrix
reserves the right to change the terms, conditions, and notices under
which NACallMatrix is offered.
Termination
of Access
Access
to member services by the customer maybe terminated at any time and
without prior notice, should NA Operator Calling Services deem that any of these Terms and
Conditions has been violated.
General
This
Licensing Agreement will be governed and construed in accordance with
the laws of the Province of Manitoba. Except for the dispute
resolution proceedings provided for in the Billing Agreement,
exclusive jurisdiction and venue over any and all matters of dispute
arising under or by virtue of this Agreement or between the parties
will rest in the provincial or federal courts located in Winnipeg,
Manitoba. Use of NACallMatrix is unauthorized in any jurisdiction
that does not give effect to all provisions of these terms and
conditions, including without limitation this paragraph. Unauthorized
entry into any virtual or real subdirectory of NACallMatrix is
trespassing.
This
agreement is subject to existing laws and legal process, and nothing
contained in this agreement is in derogation of right to comply with
law enforcement requests or requirements relating to your use of
NACallMatrix or information provided to or gathered by NACallMatrix
with respect to such use.
If
any part of this agreement is determined to be invalid or
unenforceable pursuant to applicable law including, but not limited
to, the warranty disclaimers and liability limitations set forth
above, then the invalid or unenforceable provision will be deemed
superseded by a valid, enforceable provision that most closely
matches the intent of the original provision and the remainder of the
agreement shall continue in effect.
This
agreement along with the Billing and Collection agreement with the customer
constitutes the entire agreement between the customer and NACallMatrix with
and supersedes all prior or contemporaneous communications and proposals,
whether electronic, oral, or written, between Customer and NACallMatrix with
respect to NACallMatrix. A printed version of this agreement and of any notice
given in electronic form shall be admissible in judicial or
administrative proceedings based upon or relating to this agreement
to the same extent and subject to the same conditions as other
business documents and records originally generated and maintained in
printed form.
Any
rights not expressly granted herein are reserved.
